Pat Herman is senior tax attorney at Vandeventer Black, having a tax degree and 35 years of experience. Pat’s practice is focused on estate planning, employee benefits and ERISA matters, general tax planning, and exempt organizations. He is licensed to practice in Virginia and North Carolina, sharing time in our Norfolk and Kitty Hawk offices, with regular visits to our Richmond Office to assist clients with sophisticated tax planning.

Tax, trust and estate planning, and administration are a major part of Pat’s tax practice. He enjoys assisting families with successful wealth transfer planning and techniques, including the use of family limited liability companies, succession planning, “dynasty” and special needs trusts. Protecting family members while preserving family harmony and saving taxes is the goal.

Pat also assists clients with state and local tax issues, as well as the Virginia Watercraft Tax. For his ERISA practice, he represents individual Employer sponsored plans, Taft-Hartly Multi-Employer Plans, and local (governmental) plans.

Pat enjoys contributing to the community through his participation on the General Douglas MacArthur Foundation Board, where he serves as General Counsel.

Geoffrey G. Hemphill

Geoff Hemphill has practiced in the firm’s Norfolk office since 1997 and in the Kitty Hawk office since 2019.  He concentrates his law practice in taxation, ERISA, employee benefits, business transactions, real estate, and international business matters.

His taxation practice focuses on corporate taxation, limited liability company issues, and international tax as well as state and local tax.

Jim Harvey is a partner in Vandeventer Black’s Norfolk office with a wide range of experience in construction, construction defect, surety, government contracts, land use, permitting, property damage, business and corporate disputes. He regularly appears in state and federal court as well as various arbitration panels representing the needs of contractors, subcontractors, suppliers, owners, developers, engineers, architects, insurers or sureties and their agents. Jim makes it a point to thoroughly understand his client’s business so that he can assist in the development, negotiation, and review of contracts, and when necessary, resolve any disputes in the most efficient manner possible. Many of Jim’s engagements involve projects of local, regional and even international importance, and he is able to use these experiences to help clients with every new problem.

Jim is a member of the firm’s Executive Board responsible for the governance and operations of Vandeventer Black and also serves on numerous municipal, professional and civic boards and committees.  He is the former Chair of the Norfolk Board of Zoning Appeals, is the past-president of the Norfolk & Portsmouth Bar Association as well as it’s foundation, and a past chair of the Virginia Bar Association’s Construction and Public Contracts Section.  Jim is the 2004 recipient of the Norfolk & Portsmouth Bar Association’s prestigious Walter E. Hoffman Community Service Award.  Jim’s also a past chairman of the Board of Directors for Tidewater Aquatic Club.

Jim serves as legal counsel to the Tidewater District of the Associated General Contractors of Virginia, and is active with numerous trade organizations in the construction industry.

He served on active duty as a U.S. Army Officer from 1989 to 1993 and in the Virginia National Guard from 1994-1996. Jim enjoys biking, hiking or being outdoors with his dogs and family when not at work.

Tracy is a trial attorney who focuses her practice on the defense of professionals, including attorneys, realtors, insurance agents and brokers, physicians, psychologists, dentists and nurses, as well as various health care facilities such as hospitals and large academic medical centers. She also regularly defends a variety of personal injury cases, including cases involving catastrophic injuries and death.

Tracy has taken hundreds of depositions and has traveled nationwide deposing and defending various experts in complex medical malpractice and other personal injury cases, forming relationships with many of the nation’s top medical doctors and other experts. She has tried multiple cases in state and federal courts throughout Virginia.

Tracy has also successfully represented healthcare providers before various state licensing boards within the Virginia Department of Health Professions, Medical Malpractice Review Panels and the Workers’ Compensation Commission, which adjudicates claims for compensation from the Virginia Birth-Related Neurological Injury Compensation Program. Tracy has also handled appeals to the U.S. 4th Circuit Court of Appeals and the Virginia Supreme Court, including oral arguments before the Virginia Supreme Court.

Keeping clients’ business and personal interests in mind, Tracy has negotiated favorable settlements for many clients, avoiding the time and expense of litigation. She has participated in numerous mediations and other settlement conferences.

Tracy’s litigation experience is not limited to professional liability and personal injury matters. She also has experience representing clients in a variety of other civil litigation matters, including those alleging breach of contract, tortious interference with business relations, violations of covenants not to compete, unlawful discrimination, fraud, malicious prosecution, breach of warranty and lemon law violations.

During her career, Tracy has lectured to various groups, including physicians, nurses, risk managers, hospital administrators, and attorneys on a variety of topics, including litigation trends, expert witnesses, charting, record keeping, full disclosure, discovery and periodic changes in laws affecting health care providers throughout Virginia. She currently serves as the Chair of the Professional Liability Section of the Virginia Association of Defense Attorneys.

Tracy previously volunteered as an attorney-coach with the Model Judiciary Program which provides high school students with the opportunity to learn about Virginia’s judicial system by playing the roles of attorneys, jurors and witnesses in a mock trial and appeal. She continues her community service today as a volunteer and Christmas Committee member with the Chesterfield-Colonial Heights Christmas Mother Program, Inc.

Richard S. Guy

Richard Guy concentrates his practice in business formations, purchases, sales and mergers; banking, commercial finance, secured transactions and purchases, sales, and financing of fishing vessels; creditor’s rights and bankruptcy; commercial real estate; commercial litigation; maritime and admiralty law.

Richard is a “womb to tomb” business lawyer. At the start of the lifecycle of a business, Richard assists the owners in choosing the entity that is best for their particular business plan.  His assistance includes advice about financing their growth (either conventionally or through private placements), handling offensive and defensive commercial litigation, and arranging for the owners to share in the benefits of the commercial real estate that supplies the office space to the business. As businesses reach the critical mass where they seek to acquire other businesses or are themselves attractive targets, he represents both buyers and sellers in stock, asset, and merger transactions. In several instances, his clients have sold businesses he helped them start and begun the cycle again by forming new businesses with their sales proceeds.

In addition to representing borrowers, Richard represents financial institutions and private lenders in loan transactions of varying sizes.  In order to fully service the needs of lenders, he also negotiates workout agreements and handles commercial foreclosures. When borrowers file bankruptcy petitions, Richard helps lenders realize on their collateral.

Richard received a B.A. (magna cum laude) from Dartmouth College and an M.B.A. and J.D. from the University of Virginia.

In addition to his years in private practice, Richard served as in-house counsel to General Electric Capital Corporation (1986-1992) and as General Counsel and President of  Commonwealth Health Care, Inc. (1992-1996).

Patrick Genzler concentrates his practice in environmental, construction, and government contracts law.

Patrick’s environmental practice involves representation of business and industrial clients in a wide range of regulatory compliance, permitting, enforcement and litigation matters, covering many environmental regulatory programs and federal and state environmental laws. This has included:

  • Representation of clients in administrative enforcement and penalty assessment actions initiated by US EPA, Corps of Engineers, and state environmental agencies in Virginia, North Carolina, South Carolina, Florida, and California.
  • Representation of clients in CERCLA (“Superfund”) cost recovery suits initiated by US EPA, state environmental agencies, and private plaintiffs.
  • Representation of clients in litigation involving contaminated real estate.
  • Negotiation of environmental agreements incident to real estate transactions for commercial and industrial properties.
  • Negotiation of “Voluntary Remediation Program” agreements with Virginia Department of Environmental Quality, for remediation and reuse of contaminated industrial and commercial properties (“Brownfields”).
  • Representation of responsible parties under the Federal Water Pollution Control Act, Oil Pollution Act, and Virginia Water Control Law for oil and hazardous substance spills and releases.
  • Representation of clients in criminal investigations conducted by US EPA, Naval Criminal Investigative Service, the FBI, and state agencies.
  • Assisted clients in application for and obtaining permits and contesting proposed permit conditions.

Patrick’s representation of construction and government contractor clients includes formation and registration of business entities including small and disadvantaged businesses; contract review, drafting and negotiation; preparation and presentation of claims; and representing clients in dispute resolution through administrative hearings, mediation, arbitration, and litigation. He has assisted construction industry contractors and engineers with formation of teaming arrangements and joint ventures for design-build and public-private ventures.

Patrick is a member of the Virginia and North Carolina bars and has represented clients across the country and throughout the southeastern U.S. He is admitted to practice before the U.S. District Courts in Virginia and North Carolina, the U.S. Court of Appeals for the Fourth Circuit, and the U.S. Court of Federal Claims.

Patrick was formerly a naval officer, serving as both a surface line officer and a Navy JAG. His Navy assignments were varied and included assignments as the Assistant Director of Naval Intelligence for Legal Affairs, and as the Regional Environmental Counsel for the U.S. Atlantic Fleet. He has held Top Secret and special access security clearances.

Jonathan is a member of the firm’s Hemp & Medical Cannabis Group, the Cybersecurity & Data Privacy Group, and the Government Contracts Practice Group. Jonathan advises business in the emerging hemp and medical cannabis industries as well as businesses in various technology related fields, advising clients on a range of matters related to hemp and cannabis regulations, contract negotiations, data privacy and security, data breach planning and response, cyber risk liability and compliance, software development and licensing, and other technology related matters.  Jonathan has also advised businesses and individuals concerning federal firearms laws.

Before joining Vandeventer Black, Jonathan was an attorney in state government at the New Hampshire Department of Health and Human Services. Jonathan was a member of the Department’s team responsible for the development and implementation of the State of New Hampshire’s first therapeutic cannabis program which continues to this day. That three-year effort included the development of the program model, program regulations, the dispensary applications process, selection of dispensaries, and the eventual licensing of four therapeutic cannabis dispensaries that are the first of their kind in the state.  Presently, Jonathan assists businesses in the emerging hemp and cannabis related industries, including advising clients on state and federal laws concerning these industries, contract negotiations, and licensing issues.

PREVENTIVE APPROACH TO DATA PRIVACY AND SECURITY
Before joining the Firm, Jonathan also helped develop and implement New Hampshire’s strategic plan to address cybercrime. He currently assists his clients in resolving issues related to cybersecurity, data privacy, and information management and cyber breach response. He provides clients with guidance on all aspects of data privacy and security including compliance with laws such as the Health Insurance Portability and Accountability Act (HIPAA), the Fair Credit Reporting Act (FCRA), the Gramm-Leach Bliley Act, the General Data Protection Regulations (GDPR), as well as state data privacy and security laws and unlawful computer use statutes.

Jonathan also negotiates contracts for clients involving software development and implementation, Software as a Service, Platform as a Service, and Infrastructure as a Service and represents clients in legal disputes involving all types of technology-related contracts. Utilizing his unique background and experience both in the government and private sectors, Jonathan helps clients navigate the complexities of data privacy and security, information technology and software development contracts, health care law, state and federal contracting, and grant compliance issues.

GOVERNMENT CONTRACTS LEGAL COUNSEL
Jonathan also managed the procurement bureau of the New Hampshire Department of Health and Human Services where he was responsible for overseeing the contracting processes of New Hampshire’s largest state agency. Jonathan advises clients on a wide variety of government contracting issues at both the state and federal level, including contract disputes and issues related to cybersecurity, data rights and intellectual property.

EXPERIENCED LITIGATOR
Jonathan spent years as a criminal trial attorney, both as a prosecutor and a defense attorney. He was an adjunct instructor at the New Hampshire Police Standards and Training Academy, where he trained law enforcement officers on various subjects including expert testimony regarding computer forensics, criminal law, motor vehicle law, and constitutional issues involving search and seizure. He was also a strategic planning consultant for the national network of Internet Crimes Against Children (ICAC) task forces. Jonathan has significant courtroom experience, including conducting trials both before the bench and juries, and has argued appellate cases before the New Hampshire Supreme Court and the Court of Appeals for the First Circuit in Boston.

COMMITTED TO EDUCATION
Jonathan presently teaches business law online for Southern New Hampshire University and has taught college level courses on constitutional law, criminal law, criminal procedure, white collar crime, and critical thinking, and has presented on such topics as, cannabis and hemp law, identity theft, cybersecurity, cyber liability insurance, ethics, the Electronic Communications and Privacy Act (ECPA), computer forensics and other technology-related topics.

Jonathan is originally from New Jersey and attended Rutgers University, where he received his undergraduate degree in Environmental Science and was a George H. Cook Scholar. He attended the University of New Hampshire Law School and lived in New Hampshire for over 25 years before moving to Virginia.

Bill Franczek is a partner with Vandeventer Black and is in the Firm’s Norfolk office. Bill was formerly a civil engineer working in construction, and his practice focuses on construction law, public contract law, and alternative dispute resolution. His extensive background in the construction field includes commercial building projects, highway projects, power plants, pulp and paper mills, rail projects, petrochemical facilities, airports, and marine terminals.

Regionally, nationally and internationally, Bill handles claim preparation, negotiation, and litigation/arbitration on behalf of construction industry clients.  His experience includes privately-owned projects; federal, state and local public projects; and hybrid developments such as public-private partnership projects.  His clients span across the construction industry and include owners and developers of large projects, general contractors, subcontractors, design professionals, and suppliers.  Bill has also served in leadership roles in many construction trade associations, including the ABA Forum on Construction Law, The Associated General Contractors of Virginia, Builders and Contractors Exchange of Hampton Roads Virginia, The Associated Builders and Contractors of Virginia, and the Hampton Roads Chapter of the Design Build Institute of America.

Bill is regarded as an expert in mediation, arbitration and conflict management.  He is a member of the American Arbitration Association’s National and International Construction Panel for arbitrators and mediators as well as its Mega Project Panel List, from which he has served across the nation as a neutral in all types of construction disputes.  Bill is also a Fellow in the College of Commercial Arbitrators and has served on over 200 ADR matters both privately and for the AAA.  He is also currently a member of several Dispute Resolution Boards across the country.

Bill was recently inducted as a Fellow into the American College of Construction Lawyers, a national organization of lawyers who have demonstrated skill, experience and high standards of professional and ethical conduct in the practice of construction law, and who are dedicated to excellence in the specialized practice of construction law.

Jenny is a trial attorney who represents businesses—including many in the maritime and transportation industries—in state and federal courts across the Commonwealth. Her representations range from contractual disputes to personal injury defense. Along with her team in the Litigation Practice Group, she also serves as local counsel for matters litigated in the Norfolk and Newport News divisions of the U.S. District Court for the Eastern District of Virginia. Having clerked at the trial-court level, Jenny has a unique understanding of the inner workings of court administration and an appreciation for approaching problems with judicial considerations in mind. Having tried cases in state and federal courts, she also understands the often-underappreciated importance of oral advocacy and has the experience to effectively advocate for her clients at the most sensitive times in a litigation.

Some of her career highlights include:

  • Obtaining a defense verdict for maritime employer in federal court trial brought by a former employee alleging negligence and having the defense verdict affirmed on appeal by the U.S. Court of Appeals for the District of Columbia.
  • Prevailing on dispositive motion to dismiss premises liability case against facility owner.
  • Briefing, arguing, and obtaining partial summary judgment for an employer limiting its liability for the tortious actions of its employee.
  • Prevailing on dispositive motion to dismiss landlord from million-dollar lawsuit based on lack of duty owed to plaintiff.
  • Serving as part of a local counsel legal team for patent clients in a multi-week federal court jury trial.
  • Serving as part of local counsel legal team for a AMLAW 100 firm and a generic pharmaceutical company in patent litigation.

Prior to attending law school, Jenny earned her B.S. in Commerce from the McIntire School of Commerce at the University of Virginia. Jenny received her J.D. (cum laude) from the Marshall-Wythe School of Law at the College of William & Mary where she served as Managing Editor of the Journal of Women and the Law and as a Teaching Assistant for the Trial Advocacy Program. After law school, Jenny completed a one-year clerkship with the Norfolk Circuit Court.

Outside the courtroom, Jenny has leadership roles in legal organizations such as the Norfolk & Portsmouth Bar Association and the James Kent American Inn of Court. To compliment her professional involvements, Jenny demonstrates her commitment to service by giving back to the community. She coaches Special Olympics athletes in basketball, soccer, and track & field. She also serves on the local Special Olympics Area 2 Board. In addition to her extensive involvement with Special Olympics, Jenny also gives back in various capacities to other organizations such as the Foodbank of Southeastern Virginia where she serves on the Philanthropy Committee and the Chesapeake Humane Society where she serves on its Board.

In 2018, Jenny received the Norfolk & Portsmouth Bar Association’s prestigious Walter E. Hoffman Community Service Award in recognition of her past and ongoing service to the community. And in 2019, Jenny was honored by her alma mater as the Taylor Reveley Award recipient in recognition of her service, leadership, and qualities as a citizen lawyer. Jenny is also a longtime Virginia resident. She currently lives in Chesapeake with her husband and two dogs.

William M. Dozier

Bill is a senior partner with Vandeventer Black and concentrates his law practice in public contracts, ship repair, construction, maritime and government investigations & enforcement matters.

His practice focuses on providing clients public contract advice through all phases of their needs including pre-contract advice, bid protests, and claim preparation and claims prosecution before both courts and the Boards of Contract Appeals. Additionally, Bill represents government contract clients in regulatory and criminal investigations, as well as ethics and compliance matters. Bill handles white collar criminal cases in federal and state courts defending clients in matters ranging from allegations of false claims, procurement fraud and violations of the Arms Export Control Act. Bill also represents clients in administrative suspension and debarment actions before various federal agencies, including the Army, Navy and EPA.

Bill received a B.S. with high distinction in Chemical Engineering from the University of Virginia and a J.D. from the Marshall-Wythe School of Law, College of William & Mary, where he was the Associate Editor of the William & Mary Law Review.

Bill is licensed to practice in both Virginia and Hawaii.

Prior to his legal career, Bill worked as a Chemical Engineer and served twenty years of active duty in the United States Coast Guard. He retired from the Coast Guard as a Commander in 1990.
